1. These terms
These terms and conditions govern your use of the Auto Insights website, valuation platform and API. They are between you (or the organisation you act for) and Auto Insights Limited, a company registered in England and Wales, company number 15035802, registered office 5 Brayford Square, London, E1 0SG.
By creating an account, using an API key or accessing our data you accept these terms. Where a signed order form or subscription agreement exists between us, that document takes precedence over these terms to the extent of any conflict.
We contract with businesses. Nothing in these terms is intended to affect the statutory rights of a consumer, and we do not knowingly supply the services to consumers.
2. Definitions
- Data — valuations, values, indices, specifications, market commentary and any other output we make available.
- Services — the platform, the API, associated documentation and support.
- Subscription — the plan, term, permitted volumes and fees set out in your order form or sign-up.
- Permitted users — your employees and contractors, named or licensed under your subscription.
- Your data — registrations, mileages, vehicle records and other material you submit to the Services.
3. Access and accounts
We will issue credentials and API keys to your nominated administrator. You are responsible for keeping them confidential, for the acts of your permitted users, and for all activity under your keys. Tell us immediately at sales@autoinsights.co.uk if you believe a key has been compromised; we will revoke and reissue it.
Access is per organisation. Credentials and keys must not be shared with, or used on behalf of, any other business unless we have agreed a reseller or bureau arrangement in writing.
4. Licence to use the data
Subject to payment of the fees and to these terms, we grant you a non-exclusive, non-transferable, revocable licence for the subscription term to use the Data for your own internal business purposes, including:
- valuing, pricing, acquiring and disposing of vehicles;
- settling or assessing claims, and supporting decisions with the valuation evidence we supply;
- internal reporting, forecasting and risk analysis; and
- displaying an individual valuation to the customer or policyholder it relates to.
Attribution to "Auto Insights" is required wherever a value is shown to a third party.
5. Restrictions
You must not:
- resell, sublicense, syndicate or redistribute the Data, or make it available as part of a competing valuation or data product;
- extract, scrape or accumulate the Data to build a substitute dataset, price guide, index or model, including for training machine-learning models;
- exceed the volumes in your subscription, circumvent rate limits, or use more keys than licensed;
- reverse engineer the Services or attempt to derive our methodology, weightings or source data;
- remove attribution or present the Data as your own; or
- use the Services unlawfully, or in a way that damages them or another customer's use of them.
We may monitor usage to enforce this clause, and may suspend keys where we reasonably suspect a breach.
6. Fees and payment
Fees are as stated in your order form. Unless agreed otherwise, invoices are payable within 30 days of the invoice date, in pounds sterling, and are exclusive of VAT. Overage above your licensed volume is charged at the rate in your order form.
We may increase fees on renewal by giving at least 30 days' written notice before the end of the current term. Late payment carries interest at 3% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend access to overdue accounts after written notice.
7. Accuracy of valuations
Our valuations are informed estimates of market value, produced from observed transactions and reviewed by our analysts. They are not offers to buy or sell, not guarantees of a price achievable, and not professional advice or a substitute for physical inspection.
We take accuracy seriously and publish a confidence grade and comparable count with each value so that you can judge its strength. Where evidence is thin, a value is marked provisional. You remain responsible for the decisions you take, and for any adjustment you apply, using the Data.
The Data depends in part on third-party sources. We do not warrant that the Data is complete, error-free or uninterrupted, and to the extent permitted by law all implied warranties are excluded.
8. Availability and support
We aim for 99.9% monthly availability of the API, excluding planned maintenance notified in advance and events outside our control. Availability figures are available on request.
Support is provided by email during UK business hours, 09:00 to 17:30 Monday to Friday excluding public holidays. Where your order form includes a service level agreement, that document sets out response times and any service credits.
9. Intellectual property
All intellectual property rights in the Services, the Data, our methodology and our brand remain with Auto Insights or our licensors. Nothing in these terms transfers ownership. You retain all rights in your data, and grant us a licence to process it in order to provide the Services and, in aggregated and de-identified form, to improve their accuracy.
If you send us feedback, we may use it without obligation or payment.
10. Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of the agreement, and protect it with at least reasonable care. This does not apply to information that is public through no breach, independently developed, or required to be disclosed by law or a regulator.
11. Data protection
Each party will comply with applicable data protection law. Where we process personal data on your behalf — for example registrations you submit for valuation — you are the controller and we are the processor, and we will process it only on your instructions, under appropriate security measures and subject to our privacy policy and any data processing agreement between us.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for loss of profit, revenue, business, anticipated savings, goodwill or data, or for indirect or consequential loss; and our total liability arising in any 12-month period, whether in contract, tort or otherwise, is limited to the fees paid or payable by you in that period.
You will indemnify us against claims arising from your use of the Data in breach of clause 5, or from material you submit to the Services.
13. Term and termination
Subscriptions run for the term in your order form and renew for successive equal terms unless either party gives 30 days' written notice before renewal. Either party may terminate immediately if the other materially breaches these terms and fails to remedy the breach within 14 days of written notice, or becomes insolvent.
On termination your licence ends, access is withdrawn, and you must stop using and delete any stored Data other than records you must keep by law or that are embedded in a completed transaction or claim file.
14. General
We may vary these terms by giving 30 days' written notice; continued use after that date constitutes acceptance. Neither party is liable for delay caused by events beyond its reasonable control. You may not assign the agreement without our written consent. These terms, with your order form, are the entire agreement between us. No third party has rights under the Contracts (Rights of Third Parties) Act 1999. A failure to enforce a term is not a waiver of it, and if any term is unenforceable the remainder continues in force.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
